1. Acceptance of Terms

By accessing our website, engaging our services, or entering into any agreement with Functional in Five ("F5," "we," "us," or "our"), you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy. If you do not agree to these terms, you must immediately cease using our services and website. Your continued use of our services constitutes ongoing acceptance of these terms as they may be updated from time to time.

2. Description of Services

Functional in Five is a rapid application development company specializing in building minimum viable products (MVPs) and functional applications within accelerated timelines. Our service offerings include:

Strategic Scope ($500): A comprehensive scoping session designed to understand your vision, validate your MVP concept, define project requirements, and create a detailed proposal outlining deliverables, timelines, and technical approach. This session includes completion of a Product Scoping profile, a 60-minute Scoping Session with our team, and delivery of a formal proposal.

F5 App Build ($4,500): Our signature 5-day build cycle where our dedicated development team designs, develops, tests, and deploys your MVP application. This includes daily status updates, end-of-week product demo and tutorial, full source code delivery, and deployment to your preferred hosting environment.

Consulting Services ($500/hour): Expert advisory services including technical architecture review, AI integration strategy, product ideation, feature development for existing applications, performance optimization, and strategic technology guidance.

All services are subject to our acceptance of your project based on technical feasibility, resource availability, and alignment with our expertise. We reserve the right to decline any project at our sole discretion.

3. Payment Terms & Refund Policy

Strategic Scope: The $500 fee is payable in full upon booking and is non-refundable. This fee covers our team's time in conducting the scoping session, technical analysis, and proposal preparation regardless of whether you proceed with the build phase.

F5 App Build: The $4,500 fee is due in full before project commencement. No development work will begin until payment is received. Payment can be made via bank transfer, credit card, or other mutually agreed methods. This fee is non-refundable once development begins.

Consulting Services: Billed at $500 per hour with a minimum one-hour engagement. Invoices are issued upon completion of services and payment is due within 14 days of invoice date. Late payments may incur a 1.5% monthly interest charge.

Additional Services: Any services beyond the agreed scope, including additional F5 sprints, monthly maintenance, hosting, feature additions, or scope changes, will be quoted separately and require written approval before commencement.

Refund Policy: Due to the intensive nature of our services and the immediate allocation of resources upon engagement, all fees are non-refundable except in cases of material breach by F5. If you are dissatisfied with our services, please contact us immediately to discuss resolution options.

4. Project Scope & Change Requests

The project scope is defined and agreed upon during the Strategic Scope phase and documented in your formal proposal. The scope includes specific features, functionality, technical requirements, deliverables, and timelines. Both parties must approve the scope in writing before development begins.

Any requests for changes, additions, or modifications to the agreed scope after project commencement constitute a "Change Request" and may result in additional fees, extended timelines, or require scheduling of an additional F5 sprint. All Change Requests must be submitted in writing and require mutual written agreement before implementation.

F5 will make reasonable efforts to accommodate minor adjustments within the original scope, but significant changes may require renegotiation of fees and timelines. We reserve the right to decline Change Requests that substantially alter the project's nature or feasibility within the 5-day timeline.

5. Intellectual Property Rights

Client Ownership: Upon receipt of full payment, you will own all intellectual property rights, including copyright, to the custom code, designs, and deliverables created specifically for your project. This includes all source code, documentation, designs, and materials created exclusively for your application.

F5 Retained Rights: F5 retains all rights to: (a) general methodologies, processes, frameworks, tools, and development techniques used in service delivery; (b) pre-existing intellectual property, code libraries, and templates developed independently; (c) third-party open-source software and libraries integrated into your application; and (d) knowledge, experience, and skills gained during the engagement.

Third-Party Components: Your application may incorporate third-party open-source libraries, frameworks, APIs, and services, each governed by their respective licenses. You are responsible for compliance with all third-party licenses and terms of service. F5 will identify major third-party dependencies in your project documentation.

License Grant: F5 grants you a perpetual, worldwide, non-exclusive, royalty-free license to use any F5-developed tools or frameworks incorporated into your project for the purpose of maintaining and operating your application.

Portfolio Rights: F5 reserves the right to showcase your project in our portfolio, marketing materials, and case studies unless you request confidentiality in writing. We will not disclose sensitive business information or proprietary details without your express permission.

6. Confidentiality & Non-Disclosure

F5 agrees to maintain strict confidentiality of all proprietary information, business plans, technical specifications, trade secrets, customer data, financial information, and other confidential materials disclosed during our engagement. We will not disclose your confidential information to any third parties except: (a) to our team members and contractors who require access to perform services; (b) to professional advisors bound by confidentiality obligations; or (c) as required by law or court order.

Confidential information does not include information that: (a) is or becomes publicly available through no breach of this agreement; (b) was rightfully in F5's possession prior to disclosure; (c) is independently developed by F5 without use of your confidential information; or (d) is rightfully received from a third party without confidentiality obligations.

This confidentiality obligation survives termination of our engagement and continues for a period of five (5) years from the date of disclosure. Upon request, F5 will execute a separate mutual non-disclosure agreement prior to discussing highly sensitive or proprietary information.

7. Warranties & Disclaimers

Professional Standards: F5 warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. We will use commercially reasonable efforts to deliver functional, reliable applications that meet the agreed specifications.

No Guarantee of Results: F5 expressly disclaims any warranties regarding specific business outcomes, user adoption, revenue generation, investment success, market reception, or commercial viability of any application developed. We provide technical development services only and do not guarantee business success.

Functionality Warranty: F5 warrants that applications delivered will substantially conform to the agreed specifications for a period of thirty (30) days following delivery. Defects reported during this period will be corrected at no additional charge. This warranty does not cover issues arising from: (a) modifications made by you or third parties; (b) use beyond the intended scope; (c) integration with third-party services; or (d) changes in hosting environments.

Disclaimer of Other Warranties: EXCEPT AS EXPRESSLY STATED HEREIN, F5 PROVIDES ALL SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. F5 DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Limitation of Liability

Cap on Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, F5'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO OUR SERVICES, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO F5 FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Exclusion of Consequential Damages: IN NO EVENT SHALL F5 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF F5 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Exceptions: The limitations in this section do not apply to: (a) F5's gross negligence or willful misconduct; (b) breach of confidentiality obligations; (c) infringement of intellectual property rights; or (d) matters that cannot be limited by applicable law.

Claims Procedure: You must notify F5 in writing of any claims within thirty (30) days of discovering the issue giving rise to the claim. Failure to provide timely notice may bar recovery.

9. Indemnification

Client Indemnification: You agree to indemnify, defend, and hold harmless F5, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the delivered application; (b) your breach of these Terms; (c) content, data, or materials you provide; (d) violation of any third-party rights; or (e) your violation of any laws or regulations.

F5 Indemnification: F5 agrees to indemnify you against claims that custom code developed solely by F5 for your project infringes third-party intellectual property rights, provided you: (a) promptly notify F5 of the claim; (b) grant F5 sole control of the defense; and (c) provide reasonable cooperation. F5 may, at its option: (i) obtain rights to continue use; (ii) modify the code to be non-infringing; or (iii) refund fees paid.

This indemnification does not apply to claims arising from: (a) modifications you make to delivered code; (b) combination with non-F5 products; (c) third-party components or open-source software; or (d) your specifications or requirements.

10. Termination

Termination for Convenience: Either party may terminate an ongoing engagement with fifteen (15) days' written notice. Upon termination, you will be responsible for payment of all work completed and expenses incurred up to the termination date, calculated on a pro-rata basis.

Termination for Cause: Either party may terminate immediately upon written notice if the other party: (a) materially breaches these Terms and fails to cure within ten (10) days of written notice; (b) becomes insolvent or files for bankruptcy; or (c) ceases business operations.

Effect of Termination: Upon termination: (a) all payment obligations for completed work become immediately due; (b) F5 will deliver all completed work products in their current state; (c) confidentiality obligations survive; and (d) you receive a limited license to use partially completed work for internal evaluation only until full payment is made.

Work Product Upon Termination: If you have made full payment for completed phases, you own the intellectual property for those completed deliverables. Incomplete work remains F5 property until paid for in full.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, pandemics, internet or utility failures, or vendor failures (each a "Force Majeure Event").

Upon occurrence of a Force Majeure Event, the affected party shall: (a) promptly notify the other party; (b) use reasonable efforts to mitigate the impact; and (c) resume performance as soon as reasonably practicable. If a Force Majeure Event continues for more than thirty (30) days, either party may terminate the affected engagement without penalty.

12. Dispute Resolution

Good Faith Negotiation: In the event of any dispute, claim, or controversy arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. Either party may initiate negotiations by providing written notice describing the dispute.

Mediation: If negotiations do not resolve the dispute within thirty (30) days, the parties agree to participate in non-binding mediation administered by a mutually agreed mediator or mediation service. The parties will share mediation costs equally.

Arbitration: If mediation fails to resolve the dispute within sixty (60) days, either party may pursue binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Arbitration will be conducted by a single arbitrator in the jurisdiction specified in the Governing Law section. The arbitrator's decision shall be final and binding.

Exceptions: Either party may seek injunctive or equitable relief in court for breaches of confidentiality or intellectual property rights without first pursuing mediation or arbitration.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of [Your State/Province], without regard to its conflict of law provisions. These Terms and Conditions, together with any signed proposals, statements of work, and our Privacy Policy, constitute the entire agreement between you and F5 regarding our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral. No amendment or modification of these Terms shall be valid unless made in writing and signed by both parties.

16. Amendments

F5 reserves the right to modify these Terms and Conditions at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date and, where required, by sending email notification to active clients. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

For existing engagements at the time of modification, the Terms in effect at the time of engagement shall continue to apply unless both parties agree in writing to adopt the updated Terms.
